By doing business with OLEA Designs, dba NoProblemSelling.com, you agree to the following:

All intellectual property that you see, read, recieve and or discuss while working with OLEA Designs remains the sole property of OLEA Designs and the owner of OLEA Designs, Samantha Olea. The only instances where property transfers ownership is in the event that a design is purchased, paid in full and fully agreed upon by both parties, at which time OLEA designs retains the rights to use the design in their portfolio and other marketing materials for OLEA Designs.

Agents
Agents are independent contractors for OLEA Designs that work with clients and/or potential clients in sales and design revisions. Agents are compensated by a percentage rate of the final sales price to be set by OLEA Designs at the time of the agent joining the OLEA Designs Team. Agents are not allowed to work for a competitive company with in the same field as OLEA Designs while working with OLEA Designs. Agents are not allowed to sell similar services to those provided by OLEA Designs while working with OLEA Designs. Agents are not allowed to contact any client or potential client that they have met through or with OLEA Designs outside of the scope of selling services for OLEA Designs. Agents agree that any and all information obtained from OLEA Designs or any client of OLEA Designs will be kept confidential. Agents agree that they will not discuss any issue pertaining to OLEA Designs or the clients, new and existing, of OLEA Designs out side of OLEA Designs. Agents agree to and understand that any breach of client confidentiality or agent/business confidentiality could be not only grounds for dismissal and possible forfeiture of commission, but agent may also be legally liable for any damages caused to either the client or OLEA Designs. Agents agree to not accept any money directly from clients. All payments must be made through an Agent Site provided by OLEA Designs. Agents agree to not lie, attempt to defraud or falsely quote a price at below what has been authorized by OLEA Designs. Any misrepresentation of price from the agent to the client or potential client is the responsibility of said agent. Any payment sent by clients for rates below those set by OLEA Designs will be refunded with out services rendered. Any agent found to be in violation of these terms will be terminated from the program immediately and not allowed to re-apply.

Agents are paid monthly. Payment is issued by the 15th of each month in the manner agreed upon by agent and OLEA Designs. Agents do not receive commission on cancelled, refunded or unpaid accounts. OLEA Designs reserves the right to dissolve a relationship with any designer or agent at any time, with out prior notice or reason.

Designers are compensated by rate to be set by OLEA Designs at the time of the designer accepting design task. Designers are not allowed to sell similar services to those provided by OLEA Designs while working with OLEA Designs. Designers are not allowed to contact any client, agent or potential client that they have met through or with OLEA Designs outside of the scope of rendering services for OLEA Designs. Designers agree that any and all information obtained from OLEA Designs or any client of OLEA Designs will be kept confidential. Designers agree that they will not discuss any issue pertaining to OLEA Designs or the clients, new and existing, of OLEA Designs out side of OLEA Designs. Clients
Clients are expected to pay for services in advance. Clients are expected to communicate any dislikes along the design process as to allow for OLEA Designs to make the necessary changes to the design in a timely manner. Once a design is transferred and accepted by the client, there can not longer be a refund issued. It is important to communicate with your agent about any changes that you would like made prior to officially accepting a design. OLEA Designs will revise any work that has not been officially accepted, with in reason. Client agrees that in effort to keep our fees affordable, we offer our designs in stages allowing for the client to give us proper feedback and direction on their design. To further illustrate our definition of 'with in reason', see these examples:

1. Janet wants a web site for her landscaping business. She thinks that an oldwolrd theme would be best. Her agent responds with a design for Janet to review. Janet is not fond of the direction and tells her agent she'd really like a more rustic look. Her agent responds and Janet gives the go ahead. The site is built. Janet then notices that she would like to change her logo, and add more photos. Her agent gets back to her and Janet is blown away-the design is perfect. Janet officially accepts the web site, at which time it is uploaded to the server of her choice. -This is with in reason.

2. Janet wants a web site for her landscaping business. She thinks that an oldwolrd theme would be best. Her agent responds with a design for Janet to review. Janet is not fond of the direction and tells her agent she'd really like a more rustic look. Her agent responds and Janet gives the go ahead. The site is built. Janet officially accepts the web site, at which time it is uploaded to the server of her choice. Janet then decides that she would rather start over and go with a slick web 2.0 look instead of the design that she chose. -This is not with in reason.

Clients understand that choosing to work with someone, agent or designer, that they have met through OLEA Designs outside of OLEA Designs is done at their own risk, and to the risk of that designer or agent. Any side deals, agreements or arrangements made outside of the scope of OLEA Designs is not the responsibility of OLEA Designs.
Any misrepresentation of price from the agent to the client or potential client is the responsibility of said agent.
